Terms & Conditions
Gameroo Ltd t/a GPU Workshop (‘GPU Workshop’, ‘us’, ‘we’ or ‘our’) is a Company which provides the following “Services”:
We purchase your new or used Computer Graphics Cards (“GPU”), Processors (“CPU”), Products (“Product”), and other Gaming, Server, or Computer Components (“Component”). You receive an “offer” from us by identifying your component and its condition on our Website. You provide us with your name and email address via the online form on our website and we will contact you directly via email confirming the offer and requesting contact details, address, payment method, and to confirm you accept the offer. Once you have done so we will reply with a free shipping label with our chosen courier.
Thereafter you send us your component(s) and we will test it to confirm that it is in the condition you have described. If your component proves after testing to be in the condition you described we will pay you by Bank Transfer (BACS/Faster Payment). We reserve the right to change our payment methods from time to time with or without notice. If the component(s) that arrived do not meet the standards you have described we will contact you to ask if you wish to have the component returned, or in some cases to offer a modified “offer” payout, or lastly if you would prefer to have it recycled.
Agreement
This Agreement is between GPU Workshop and you. When you use GPU Workshop Services you agree to abide by the following terms:
1. About These Terms
These terms govern the Services. These terms, the terms that govern your use of GPU Workshop’s website (www.gpuworkshop.com) found at https://www.gpuworkshop.com/website-terms-of-use/, and our Privacy Policy found at https://www.gpuworkshop.com/privacy-policy/, collectively, make up an agreement between you and GPU Workshop (the “Agreement”).
2. Requirements of Sale
In order to sell a COMPONENT or to complete any other transaction with GPU Workshop, you must:
(i) Confirm a trade-in order via email with us;
(ii) Provide true, up to date and accurate information including:
– Full name
– Valid postal address (required for return shipments if components are rejected or do not pass testing)
– Valid mobile phone number (required for shipment notifications and delivery coordination)
– Valid email address
– Payment details (bank account details)
– Accurate component information
(iii) Comply with all applicable laws and regulations, including all import and export laws as described in Section 16 below.
(iv) Be the owner of the item or be authorised to sell the item to GPU Workshop, free of any liens or encumbrances.
(v) Be at least 18 years old.
(vi) Acknowledge that we require your address and contact details to facilitate the transaction, including to arrange collection, return rejected items, repackage items for courier collection, and resolve any delivery issues.
3. Component Eligibility
We determine, in our sole discretion, which brands and models of Components are eligible for purchase by us and for which we will provide an offer. GPU Workshop may terminate the eligibility of certain component(s) at any time and with or without advanced notice, but such termination will not affect any components for which we have already made an offer that you have accepted.
4. Offer
Upon receiving an offer, you have the option of accepting or rejecting that offer. Acceptance indicates you are willing to provide your COMPONENT to us at the offered price. If you do not accept our offer, the specific offer expires. If after rejecting the offer you change your mind and want to accept the offer, you will need to open another transaction with us at which point, assuming the COMPONENT is still eligible for purchase, the new offer may be different as prices are subject to change. Any offer made by us is open for acceptance for 10 calendar days. You must ship your COMPONENT before 10 calendar days have passed in order to secure the price offered to you. We reserve the right in our sole discretion to alter the terms of the offer if 10 calendar days have passed and you have not shipped the COMPONENT to us. For the avoidance of doubt, your acceptance of the offer is final and you may not change your mind later about accepting such offer.
By providing your mobile phone number via email, you consent to receive SMS text messages from GPU Workshop regarding your order status. We will never share or sell your mobile phone number or personal information to third parties for marketing purposes. You may opt out of receiving SMS messages at any time by replying STOP to any message. For help, reply HELP or contact our support team at info@gpuworkshop.com or +44 (0) 1234 567890.
5. Order Communication
We may communicate to you via electronic mail correspondence (“email”) and or via text message from time to time regarding the order(s) you placed on our website through the checkout process. These communications are intended as informational only. These communications are not intended as marketing any service or product, but rather simply a reminder to ship your item(s) to GPU Workshop. Some of these notifications via email or text may briefly address common questions or concerns customers may have. Some informational examples may be topics like: how to determine the shipping carrier based on the return label emailed, or whether shipping to GPU Workshop is safe or not, when price quotes may expire, what happens if components do not pass testing, how quickly will customers get paid after arrival, etc.
6. Marketing Communication
By using this website, whether or not an order has been placed, you consent to receiving marketing communications from us. These communications may include promotional emails or text messages sent to the contact information provided during the price quote process or checkout process. We may use these channels to inform you about our latest products, special offers, and other relevant updates. We strive to send marketing communications that are relevant and valuable to our users. While we may send emails or texts from time to time, we respect your inbox and aim to keep the frequency reasonable. The content of our communications will focus on updates, promotions, and information about products or services offered by our company.
7. Opting Out
If at any time you wish to stop receiving communications from us, you can opt out by following the unsubscribe instructions provided in the emails or by replying ‘STOP’ to text messages. Please note that even if you choose to opt out, you may still receive non-promotional communications, such as transactional emails related to your account or orders, from GPU Workshop’s Support team or other members.
8. Valuation
All offers will be based on our own determination of the COMPONENT value in reliance on the accuracy of the information you supply us. GPU Workshop will use its discretion to determine the value, taking into account factors that may include the COMPONENT’s model, functionality and condition.
9. Postage and Packing
We offer free postage within the UK only of both your item to us for inspection and to return it to you if it does not pass our inspection. All postage is via Royal Mail, DPD, Evri, or Parcelforce. We also offer suitable free packing to allow you to send your item to us for certain selection components.
Packing and shipping recommendations provided to you by us should be followed in order to avoid possible damage to or loss of the COMPONENT in transit. We do not accept any liability for items that go missing or are damaged in transit.
Returns and Repackaging: If your component is rejected or does not pass our testing, we will repackage it securely and arrange return shipment to the address you provided. You must ensure the address you provide is accurate and accessible for courier deliveries. We may need to contact you via phone to coordinate courier collection times. Failure to provide accurate contact details may result in delays or failed deliveries, for which we cannot be held responsible.
International customers are responsible for their own shipping costs.
10. Condition and Inspection of COMPONENTs
GPU Workshop only purchases COMPONENTs that are in good working order and pass our inspection. We will inspect all COMPONENTs that are received by us. We reserve the right to reject any COMPONENT received by us, including without limitation, to reject any COMPONENT:
(a) not conforming to the description you provided to us;
(b) any COMPONENT modified in such a way that it no longer conforms to the original factory specifications;
(c) any COMPONENT no longer complying with applicable laws or regulations;
(d) any COMPONENT damaged or lost in transit.
If we reject the COMPONENT for any of these reasons, the original offer automatically expires and is rescinded. We will inform you by email of a rejection of your COMPONENT and give you a choice of having it returned to you or recycled. You are responsible for responding to our email. If we receive no response from you within 10 days of our original email your COMPONENT will be recycled.
11. Amended Offers
We reserve the right to revoke the original offer and provide a revised offer for the COMPONENT if:
(a) the COMPONENT is not as described by you;
(b) the COMPONENT is not posted to us by you within 10 days of accepting the offer;
(c) The COMPONENT is different from that identified by you when your offer was calculated;
(d) Although we make every effort to ensure all information on our website is accurate and up to date however from time to time, there may be typographical errors, technical inaccuracies, pricing or other errors or omissions. As such, GPU Workshop reserves the right, at any time prior to payment, to correct an error and provide a revised offer.
In the event we recalculate the offer after the COMPONENT has been received and inspected, you shall have the option of accepting or rejecting a revised offer. If you accept the revised offer, you will be paid in line with these terms and conditions. If you reject the revised offer, we will return the COMPONENT to you at the address you have provided. We will give you a period of five (5) days after GPU Workshop presents you with a recalculated offer via email at the address you provided to accept or reject the new offer (the “New Offer Period”). If the new offer is neither affirmatively accepted nor rejected by you during the New Offer Period, the new offer will be deemed to have been accepted by you. For the avoidance of doubt, your acceptance of the revised offer is final and you may not change your mind later about accepting such offer.
GPU Workshop may add £10.00 GBP per component to the payout due when the component delivered to GPU Workshop is in its original retail packaging box including internal packaging and documentation. This applies only to original Graphics Processing Units (“GPU”) and or Central Processing Units (“CPU”) and not to any other components. GPU Workshop reserves the right to suspend this additional per component payment add-on for any reason including such as original box is in poor shape, original box is missing internal original product packaging, or item is in incorrect original packaging perhaps from another product.
12. Payment
Payment for any COMPONENT will be made within 7 working days of your COMPONENT passing our stress tests. Payments are made by Bank Transfer. We reserve the right to change our payment methods from time to time without notice. Customer assumes all liability with incorrectly entered payment information.
13. Passage of Risk
You remain responsible for the risk-of-loss for any COMPONENT until we open the packaging containing the COMPONENT. Our responsibility for the risk-of-loss ceases at the point we deliver the package to the carrier if we return the COMPONENT to you for any reason.
14. Passage of Title
Title to the applicable COMPONENT passes to us upon our acceptance of the COMPONENT for the original offer or the new offer, as applicable. Acceptance of the COMPONENT shall be either by our confirmation to you that we have accepted the COMPONENT or by payment of the offer amount, whichever the earlier.
15. Your Representations and Warranties
You agree that:
(a) you have all right, title, and interest in and to any and all COMPONENTs you seek to sell to us.
(b) all COMPONENTs you sell to us comply with all applicable laws, statutes, ordinances, including without limitation all import and export laws as described in Section 16 below;
(c) all COMPONENTs you sell to us are not counterfeit, stolen, or fraudulent.
(d) you represent and warrant that the COMPONENT is free of any liens or encumbrances.
(e) you indemnify GPU Workshop from all claims or losses sustained by GPU Workshop as a result of any breach of your representations and warranties.
16. Import and Export Laws
You agree to comply fully with all import and export laws, regulations, rules and orders of the United Kingdom, or any foreign government agency or authority, and that you will not directly or indirectly transfer any COMPONENT without proper authorisation from the UK and/or foreign government. You bear responsibility for and assume all expenses relating to your compliance with the described laws, regulations, rules and orders, and for obtaining all necessary authorisations and clearances in order to convey any COMPONENT to us, including without limitation, valuation, classification and duties applicable with the import of any goods. UK trade sanctions administered by HM Treasury’s Office of Financial Sanctions Implementation (OFSI) and the Department for Business and Trade generally prohibit the importation into the United Kingdom, either directly or indirectly, of most goods, technology, or services from designated countries and entities subject to UK sanctions. You may not offer or provide to GPU Workshop for sale, any COMPONENTs that would violate the provisions of this Section 16.
17. Consumer Rights
Nothing in this Agreement shall affect your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable consumer protection legislation. Where we are purchasing goods from you (rather than selling to you), certain provisions of the Consumer Rights Act 2015 may not apply, as you are acting as a supplier in that transaction.
18. No Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE PROVIDE THE GPU WORKSHOP SERVICES “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, SUBJECT TO YOUR STATUTORY RIGHTS. WE MAKE NO REPRESENTATIONS THAT YOUR TRANSACTIONS WITH GPU WORKSHOP WILL MEET YOUR REQUIREMENTS.
19. Removing Data From Your Product
For Products involving components that store files and/or personal or business data on hard drives, memory chips or the like, you must back up and store any data you wish to keep from your Product and remove any personal, customer, or business information from the Product before you send your Product to us for Trade-In or sale. You are responsible to format or erase any data prior to sending your components for trade-in. GPU Workshop makes no guarantee that it will remove or destroy data unless otherwise stated in clear writing. By sending GPU Workshop your components, you agree to release us from any claim as to the Product, the data stored in such Product, or any information on any media used in conjunction with the Product and which you send to GPU Workshop (whether in connection with a Trade-In or a Purchase), or for such data’s security, integrity, confidentiality, disclosure or use. GPU Workshop is not responsible for: (a) any loss suffered by you, your business, or your customers, due to any data that is not erased from the device and transferred to a third party, or (b) any loss of data after you submitted the Product to us. You may not send, sell, or supply GPU Workshop with any component that contains legal, public, confidential, or customer sensitive information. You remain responsible for compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in relation to any data you provide to us.
20. Limited Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO YOUR STATUTORY RIGHTS, IN NO EVENT SHALL GPU WORKSHOP OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, DISTRIBUTORS OR CONTRACTORS BE LIABLE FOR ANY COMPENSATORY, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, LOSS OF DATA, INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, OR ANY CLAIMS OF YOU OR OTHER THIRD PARTIES WHATSOEVER WITH RESPECT TO YOUR TRANSACTIONS WITH GPU WORKSHOP UNDER THIS AGREEMENT WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, WARRANTY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO YOUR STATUTORY RIGHTS, IN NO EVENT SHALL THE MAXIMUM AGGREGATE LIABILITY OF GPU WORKSHOP ARISING OUT OF OR RELATING TO YOUR USE OF THE GPU WORKSHOP SERVICES EXCEED £100.
Nothing in this Agreement shall exclude or limit GPU Workshop’s liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
21. Indemnity
You, at your own expense, shall indemnify, hold harmless and defend GPU Workshop, and as applicable its directors, officers, employees and agents, against any adverse consequences that GPU Workshop suffers arising from or relating to any negligent act or omission or wilful misconduct by you. For purposes of this Agreement, “adverse consequences” shall mean all actions, suits, proceedings, hearings, investigations, charges, complaints, claims, demands, injunctions, judgments, orders, decrees, rulings, damages, costs, liabilities, obligations, losses, expenses, and fees including, without limitation, court costs and reasonable legal fees.
22. Entire Agreement/No Waiver
This Agreement embodies the entire agreement and understanding between GPU Workshop and you with respect to the subject of this agreement and supersedes all prior and contemporaneous agreements and understandings, or any other information previously provided by either party either directly or indirectly to the other party, other than this agreement relating to the subject matter hereof. No waiver by GPU Workshop of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
23. Amendment
The terms of this Agreement can be altered at any time by us and without prior notice to you. Any alterations will be published online and will become effective immediately following publication. Your continued use of our Services constitutes your acceptance of any amendment. If you do not accept any amendment please discontinue use of our services immediately. It is your responsibility to review this agreement each time you use our services. The last date this Agreement was revised is set forth below.
24. Force Majeure
We shall not be liable for any failure of or delay in the performance of this Agreement for the period that such failure or delay is due to causes beyond our reasonable control, including but not limited to acts of God, war, strikes, embargoes, government orders, delays in transit or delivery, failure of sources of raw materials or any other force majeure event.
25. Electronic Notices and Transactions
You agree to transact with us electronically, including without limitation, agreeing to terms and conditions or offering to sell your COMPONENT by electronic means. You authorise us to provide you with terms and important notices about GPU Workshop and your transactions to an email address you provide to us or by posting notices on an applicable page on our website. It is your duty to keep your email address accurate and up to date and to maintain a valid email address and to ensure that emails we send you are not filtered or stopped by spam filters or other types of email blocking functionalities. You must provide any notices to us by email provided by us to you or through the contact us section on our website.
Data Processing: We process your personal data (including name, address, phone number, email, and payment details) as necessary for the performance of our contract with you under Article 6(1)(b) of the UK GDPR. This data is essential for us to:
– Assess and process your trade-in offer
– Arrange courier collection and delivery
– Return rejected components to you
– Process payments
– Communicate about your transaction
– Comply with legal obligations (tax, accounting, consumer rights)

26. Applicable Law and Venue
This Agreement and each of the documents contemplated by or delivered under or in connection with this Agreement are governed by and are to be construed in accordance with the laws of England and Wales. The parties to this Agreement hereby irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of England and Wales.
27. Complaints and Dispute Resolution

If we cannot resolve your complaint to your satisfaction, you may be entitled to refer the matter to alternative dispute resolution services or the appropriate ombudsman scheme.
